1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the website located at exeeddigitals.com, the EXEED AI Suite of LinkedIn tools, and any agency services offered by EXEED Digitals ("EXEED", "we", "us", or "our") (collectively, the "Services").

By accessing or using our Services, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, where the changes are material, notify you by email or through a notice on our website. Your continued use of the Services after any modification constitutes your acceptance of the updated Terms.

3. Account Registration and Security

To access certain features of the Services, including saving results to your library and managing your subscription, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Keep your account credentials confidential and not share them with any third party.
• Notify us immediately at contact@exeeddigitals.com if you suspect any unauthorized use of your account.

You are solely responsible for all activity that occurs under your account. EXEED is not liable for any loss or damage arising from your failure to maintain the security of your account.

4. Description of Services

4.1 EXEED AI Suite (AI Tools)

EXEED provides a suite of AI-powered tools designed to help professionals grow their LinkedIn presence.

4.2 Agency Services

EXEED also offers professional LinkedIn agency services, including LinkedIn content plans, corporate training, one-on-one coaching, and B2B outreach campaigns. These services are subject to separate service agreements, which will be provided to you prior to engagement.

5. Subscription Plans and Payments

5.1 Billing

Paid subscriptions are billed on a monthly basis. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel. All fees are stated in US dollars and are non-refundable except as expressly set forth in these Terms or as required by applicable law.

5.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@exeeddigitals.com. Cancellation takes effect at the end of the current billing period. You will retain access to your paid plan features until the end of the period for which you have already paid.

5.3 Changes to Pricing

We reserve the right to change our pricing at any time. If we change the price of your current subscription, we will notify you at least 30 days in advance. Your continued use of the paid Services after the price change takes effect constitutes your acceptance of the new price.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates any applicable local, national, or international law or regulation.
• Use the Services to collect, harvest, or store personal data about other individuals without their consent, or in violation of LinkedIn's terms of service.
• Attempt to gain unauthorized access to any part of the Services, our servers, or any server, computer, or database connected to the Services.
• Transmit any unsolicited or unauthorized advertising or promotional material (spam).
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services.
• Use automated scripts, bots, or scrapers to access the Services in a manner that exceeds normal human usage patterns or that places an unreasonable load on our infrastructure.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.
• Use the Services to generate content that is defamatory, obscene, fraudulent, or otherwise objectionable.

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice, if we determine in our sole discretion that you have violated any of the above prohibitions.

7. Intellectual Property

7.1 Our Content

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, and software, are owned by EXEED Digitals or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

7.2 Your Content

You retain ownership of any content you submit to the Services (such as LinkedIn post text, profile URLs, or other inputs). By submitting content, you grant EXEED a non-exclusive, worldwide, royalty-free license to process and use that content solely for the purpose of providing the requested Service output to you. We do not claim ownership of your content and will not use it for any purpose other than delivering the Services.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use that feedback without restriction or compensation to you.

8. Third-Party Services and Links

Our Services may contain links to or integrations with third-party platforms, including LinkedIn. These Terms do not govern your use of those third-party services, and we are not responsible for their content, privacy practices, or terms. We encourage you to review the terms and privacy policies of any third-party services you use in connection with our Services.

Your use of the Lead Extractor tool involves processing publicly available data from LinkedIn. You are solely responsible for ensuring that your use of such data complies with LinkedIn's terms of service and all applicable privacy laws.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, EXEED disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated content is provided for informational and creative assistance purposes only. You are solely responsible for reviewing, editing, and verifying any content before publishing or acting on it.

10. Limitation of Liability

To the fullest extent permitted by applicable law, EXEED Digitals and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the amount you paid to EXEED in the 12 months preceding the claim, or (b) US$100.

11. Indemnification

You agree to indemnify, defend, and hold harmless EXEED Digitals and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Ottawa, Ontario, Canada.

13. Termination

We may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us at contact@exeeddigitals.com.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements for agency services, constitute the entire agreement between you and EXEED Digitals with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
